ARTICLES OF INCORPORATION OF GEARLINK RACING, INC., - A NOT-FOR-PROFIT CORPORATION
ARTICLE I - NAME
The name of the Corporation shall be GEARLINK RACING, INC., a Florida not-for-profit corporation.
ARTICLE II - PRINCIPAL OFFICE
The principal place of business and mailing address of this corporation shall be 2078 Weaver Park Drive, Clearwater, Florida 33765.
ARTICLE III - PURPOSE
The purpose for which the corporation is organized is as follows:
- To actively further the sport of cycling
- To establish and follow a methodical, disciplined, and organized training program designed to improve its members’ fitness levels and to develop and improve racing skills and tactics for successful racing
- To promote cycling education and awareness
- To participate in sanctioned and recognized races and race-related events
- To organize local races and training events
- To support cycling-related charitable organizations and events
- To act as ambassadors of the sport of cycling in the local community, and
- To build friendships and social relationships with like-minded people who share a love of cycling.
ARTICLE IV - MANNER OF ELECTION
The manner in which the directors are elected or appointed is as follows:
Directors shall be elected annually by the general membership of the organization. Each member shall hold a Membership Certificate which shall entitle him/her to one vote. Memberships and each member’s corresponding certificate shall expire on December 31st of each year, and are subject to renewal each year.No member shall own more than one membership certificate except that MIROSLAW MAGDZIAK shall be entitled to own membership certificates equal to twenty-five percent (25%) of the total number of existing membership certificates outstanding during any year. He shall have a corresponding voting interest in all matters voted upon by the general membership.
